These Terms of Service ("Terms") govern your access to and use of Pyxels ("Pyxels", "we", "us", or "our"), including our website (pyxels.ai), our application (app.pyxels.ai), and all related features and content (collectively, the "Service").
1. Eligibility
You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding agreement.
If you are using the Service on behalf of a company or other organization, you represent that you have the authority to bind that entity to these Terms.
2. Your Account
To use most features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information;
- Keep your password and account credentials confidential;
- Notify us immediately at support@pyxels.ai if you suspect unauthorized access to your account;
- Use only one account per person unless we authorize otherwise.
You are responsible for all activity that occurs under your account.
3. The Service
Pyxels is a Creative AI platform that lets you generate images and videos using a curated selection of third-party AI models. We aggregate models from leading third-party AI providers and route your generation requests to those providers on your behalf.
Pyxels does not own, operate, or train any AI model. We are an aggregator and platform. The available models, their capabilities, and their pricing in credits may change at any time.
4. Subscriptions, Credits, and Payments
4.1 Plans
The Service offers a Free tier and several paid subscription tiers, each with a monthly or annual billing cycle and a fixed allocation of credits per cycle. Current plan details, pricing, and features are displayed on our pricing page and are incorporated into these Terms by reference.
4.2 Credits
- Credits are the unit used to access generation features. Different models consume different amounts of credits based on output resolution, duration, and provider cost.
- Credits granted as part of your subscription expire at the end of each billing cycle and do not roll over unless explicitly stated.
- Credits have no cash value, are non-transferable, and cannot be redeemed for money.
- If a generation fails for technical reasons, the consumed credits will be refunded to your account automatically.
4.3 Unlimited Models
Certain paid plans include access to one or more "unlimited" models. Unlimited access is subject to fair use: to maintain quality of service for all users, we may apply a soft cap on the number of generations per period and route excessive usage to a relaxed queue with longer processing times. Unlimited access is not intended for commercial-scale batch processing or automated/bot-driven usage.
4.4 Billing and Auto-Renewal
All payments are processed by our third-party payment processor. By subscribing, you authorize us (through our payment processor) to charge your payment method for the applicable fees.
Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.
You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing cycle; you retain access until then.
We may change pricing at any time. Pricing changes will not affect a subscription that is already active for its current billing cycle; they will apply at the next renewal, with reasonable advance notice.
4.5 Refunds
Refunds are issued at Pyxels' discretion on a case-by-case basis.
Where applicable consumer-protection law grants you a statutory right to a refund or to withdraw from a purchase within a set period (for example, cooling-off rights provided in certain jurisdictions for digital purchases), we honor those rights to the extent required by law, provided that the credits granted by the purchase have not been substantially consumed. 4.6 Taxes
Prices displayed may be exclusive of applicable taxes (such as VAT, sales tax, or GST). You are responsible for any taxes payable on your purchases unless Pyxels is required by law to collect them, in which case they will be added at checkout.
5. Content Ownership and Licenses
5.1 Your Inputs
"Inputs" means the text prompts and reference images you submit to the Service. You retain all rights you have in your Inputs. You represent and warrant that you have all necessary rights and permissions to submit your Inputs and that they do not infringe the rights of any third party.
5.2 Generated Output
"Output" means the images and videos generated through the Service in response to your Inputs.
Subject to your compliance with these Terms, Pyxels does not claim ownership of your Output. To the extent that any rights in the Output are capable of being owned, we assign such rights to you, and you are free to use the Output for personal and commercial purposes, including selling derivative works.
You acknowledge, however, that:
- Under the laws of many jurisdictions, content generated purely by AI may not be eligible for copyright protection. We make no representation or warranty regarding the copyrightability of any Output.
- Identical or substantially similar Output may be generated for other users from similar prompts. We cannot guarantee uniqueness or exclusivity.
- Output may unintentionally resemble existing copyrighted works, trademarks, or likenesses of real people. You are solely responsible for reviewing Output before using or publishing it and for ensuring your use does not infringe the rights of others.
5.3 License to Pyxels
Solely to operate the Service, you grant Pyxels a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, display, and process your Inputs and Output for the purpose of providing the Service to you (including transmitting them to the third-party AI providers you select). This license terminates when you delete the content or your account, except where we are required to retain it for legal, security, or backup purposes.
We will not use your Inputs or Output to train AI models. We will not sell your Inputs or Output. We will not use your Inputs or Output for marketing without your explicit consent.
5.4 Third-Party AI Providers
When you generate Output, your Inputs are transmitted to the third-party AI provider that hosts the model you selected. Each provider has its own terms and privacy policy that govern its processing of your Inputs and Output. We do not control these providers' practices. See Section 3 of our Privacy Policy for the current list of providers and links to their policies.
6. Acceptable Use
You agree NOT to use the Service to:
- Generate content that depicts minors in any sexualized, suggestive, or harmful context. This is strictly prohibited and may result in immediate account termination and reporting to law enforcement.
- Generate non-consensual sexual or intimate content of real people, including any form of deepfake pornography or revenge content.
- Generate content depicting real, identifiable individuals without their consent, in ways that could mislead viewers, damage their reputation, or violate their privacy or publicity rights.
- Generate content that promotes violence, terrorism, hate speech, self-harm, or illegal activity.
- Generate content that infringes intellectual property rights, including unauthorized reproductions of copyrighted characters, trademarks, or proprietary art styles where doing so would constitute infringement.
- Attempt to bypass safety filters, content moderation, or technical restrictions of the Service or its underlying AI models.
- Use the Service to create misinformation, fraudulent content, or materials intended to deceive others (including fake identity documents or evidence).
- Reverse-engineer, scrape, or attempt to extract source code, underlying models, or proprietary technology of the Service or its providers.
- Use bots, scripts, or other automated means to access the Service, except through our official API (if and when offered).
- Resell, sublicense, or provide the Service to third parties as a standalone product without our written permission.
- Interfere with or disrupt the Service, our infrastructure, or other users' experience.
- Violate any applicable law or regulation.
We may, in our sole discretion, remove content, suspend or terminate accounts, and report violations to law enforcement. We may also use automated tools and human review to detect violations.
7. Suspension and Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if:
- You violate these Terms;
- Your account is used for fraudulent or illegal activity;
- Required by law, regulation, or order of a competent authority;
- Continuing to provide the Service to you would create a security, legal, or operational risk for Pyxels or its users.
You may terminate your account at any time by deleting it from your account settings or by emailing support@pyxels.ai. Upon termination, your right to use the Service ends immediately, and we may delete your account data, subject to our retention obligations described in the Privacy Policy.
Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
8. Modifications to the Service
We are continuously improving the Service. We may add, remove, or modify features, models, or plans at any time. We will use reasonable efforts to give you notice of material changes that adversely affect an active subscription.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT GENERATED OUTPUT WILL MATCH YOUR EXPECTATIONS, BE ORIGINAL, OR BE FIT FOR ANY PARTICULAR PURPOSE; OR THAT ANY DEFECTS WILL BE CORRECTED.
AI-GENERATED OUTPUT MAY CONTAIN ERRORS, BIASES, OR UNEXPECTED CONTENT. DO NOT RELY ON THE SERVICE FOR ANY USE WHERE INACCURATE OR INAPPROPRIATE OUTPUT COULD CAUSE HARM, INCLUDING MEDICAL, LEGAL, FINANCIAL, OR SAFETY-CRITICAL APPLICATIONS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PYXELS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID PYXELS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
11. Indemnification
You agree to defend, indemnify, and hold harmless Pyxels and its owners, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Inputs or Output; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
12. Third-Party Services
The Service relies on third-party providers including AI model providers, payment processors, hosting providers, and infrastructure providers. We are not responsible for the acts, omissions, or availability of these third parties. Your interactions with them may be subject to their own terms.
13. Intellectual Property of Pyxels
Pyxels, its logo, the Pyxels brand, and the Service's software, design, and user interface are owned by Pyxels and protected by intellectual property laws. Except for the limited rights granted to you in these Terms, you receive no rights in or to the Service or our intellectual property.
14. Governing Law and Disputes
These Terms are governed by the laws of Brazil, where Pyxels is established, without regard to conflict-of-laws principles. Subject to the paragraph below, any dispute arising out of or relating to these Terms or the Service will be resolved in the competent courts of Brazil.
Nothing in this section deprives you of the protection afforded by mandatory provisions of the consumer-protection law of the country in which you reside, or of your right to bring proceedings before the competent courts of your place of residence where such law so requires.
Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service and update the "Last Updated" date above. Material changes will take effect no earlier than 14 days after notice, unless they reflect a legal requirement that must take effect sooner. Your continued use of the Service after a change takes effect constitutes your acceptance of the revised Terms.
16. General
- Entire agreement. These Terms, together with the Privacy Policy and any additional terms you accept when using specific features, constitute the entire agreement between you and Pyxels regarding the Service.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party will be liable for delays or failures caused by events beyond reasonable control.
